C'est fait ! Après seulement quelques semaines de négocation Comcast laisse le contrôle de la plateforme à Disney ! Disney s'engage à racheter les 33% du capital détenus par Hulu pour 27,5 milliards$. Cependant Comcast a négocié avec Hulu pour que les contenus NBCUniversal soient disponibles sur la plateforme au moins jusqu'en 2024.
The Walt Disney Company and Comcast Corporation announced today that Disney will assume full operational control of Hulu, effective immediately, in return for Disney and Comcast entering into a “put/call” agreement regarding NBCUniversal’s 33% ownership interest in Hulu. Under the put/call agreement, as early as January 2024, Comcast can require Disney to buy NBCUniversal’s interest in Hulu and Disney can require NBCUniversal to sell that interest to Disney for its fair market value at that future time. Hulu’s fair market value will be assessed by independent experts but Disney has guaranteed a sale price for Comcast that represents a minimum total equity value of Hulu at that time of $27.5 billion.
“Hulu represents the best of television, with its incredible array of award-winning original content, rich library of popular series and movies, and live TV offerings. We are now able to completely integrate Hulu into our direct-to-consumer business and leverage the full power of The Walt Disney Company’s brands and creative engines to make the service even more compelling and a greater value for consumers,” said Robert A. Iger, Chairman and Chief Executive Officer, The Walt Disney Company, in a statement this morning.
Disney and Comcast have agreed to fund Hulu’s recent purchase of AT&T Inc.’s 9.5% interest in Hulu, pro rata to their current two thirds/one third ownership interests and, going forward, Comcast will have the option but not the obligation to fund its proportionate share of Hulu’s future capital calls and will be diluted if it elects not to fund. Disney has agreed that only $1.5 billion of any year’s capital calls can be funded through further equity investments with any capital in excess of that annual amount being funded by non-diluting debt. Whether Comcast funds its share of those equity capital calls or not, Disney has agreed that Comcast’s ownership interest in Hulu will never be less than 21% such that Comcast is guaranteed to receive at least $5.8 billion under the put/call agreement.
In addition to the put/call agreement, Comcast has agreed with Hulu to extend the Hulu license of NBCUniversal content and the Hulu Live carriage agreement for NBCUniversal channels until late 2024 and to distribute Hulu on its Xfinity X1 platform. NBCUniversal can terminate most of its content license agreements with Hulu in three years’ time, and in one year’s time NBCUniversal will have the right to exhibit on its own OTT service certain content that it currently licenses exclusively to Hulu in return for reducing the license fee payable by Hulu.

On va donc rester encore combien d’années avec cette interface degueulasse … Quand Iger a annoncé une application combinant les 2 services j’ai eu l’espoir d’avoir une nouvelle interface, proche de celle d’Hulu … Mais non. On se coltine toujours cette application pas du tout intuitive et qui offre une expérience médiocre…
Lancement de Hulu on Disney+ aux États-Unis pour les abonnés au forfait groupé de Disney qui apporte un ajout de titres de divertissement plus généraux y compris des séries d'animation pour adultes, des drames de prestige et des comédies.
L'expérience améliorée comprend des avancées techniques significatives dans l'application Disney+ dans de nombreux domaines, notamment la personnalisation, l'expérience visuelle, la recherche et bien plus encore.
Les abonnés seront également accueillis dans l'application Disney+ d'une toute nouvelle manière, avec un logo raffiné, une palette de couleurs et un mnémonique orchestral créé par le compositeur lauréat d'un Oscar Ludwig Göransson.
La couleur est nommée Aurora, à la fois pour les aurores boréales, mais aussi en hommage à la princesse Aurore (Princess Aurora en anglais), c'est beau, un peu plus adulte et ça signale un changement.
Inspirée du vert emblématique de Hulu et du bleu hérité de Disney+, cette image de marque rafraîchie pour Disney+ marque un nouveau chapitre dans la narration pour le service de streaming.

According to Joe Earley — President of Direct-to-Consumer, Disney Entertainment — that’s the ultimate goal of Hulu on Disney+, which officially launches in the U.S. for Disney Bundle subscribers today.
Bundle subscribers will now have the full Hulu on Disney+ experience, which includes Hulu content integrated into recommendations, sets, and collections across Disney+, making it easier to discover thousands of general entertainment titles and explore the impressive breadth and depth of Hulu and Disney+ content.
“What’s thrilling about the full launch of Hulu on Disney+ is we’re reducing friction for Bundle subscribers,” Earley said. “During the beta, the Hulu content was purposefully isolated to the Hulu Hub, but now it will be fully integrated into Bundle subscribers’ homepages.”
Earley explained that the value proposition of the Disney Bundle is about to go up for consumers because extensive content from Hulu and Disney+ libraries is now in one place. It will also drive deeper engagement for Disney’s content.
“It’s going to be exciting for titles like The Bear, Shōgun, and Only Murders in the Building. During the beta, we saw these titles performing really well with subscribers who typically had been watching more Disney+ content,” Earley said. “I can only imagine what’s going to happen now with increased discoverability and integration on the homepage.”
The enhanced experience also includes significant advances to the Disney+ app across a range of areas, including personalization, viewing experience, search and more.
Aaron LaBerge — President & CTO, Disney Entertainment & ESPN — explained, “In fact, this launch represents the most extensive technical advancement to Disney+ and our streaming platform since we launched Disney+ over four years ago,” with multiple underlying product and technology elements being transformed that will play a role in how we enable future capabilities and strategic projects. “As is often the case, making something simple, elegant, and easy for consumers can be quite complex behind the scenes.”
During the Hulu on Disney+ beta period (December through this week), consumers watched a wider range of content, including adult animation, prestige dramas, and comedies – all in line with Hulu’s general entertainment strengths. Earley also mentioned that Bundle subscribers who have signed up since the beta began are watching more Hulu on Disney+ content than existing Bundle subscribers, indicating that the integrated experience is resonating with consumers.
Adding access to more general entertainment titles via Hulu on Disney+ doesn’t come at the expense of families losing control over what their children can watch.
“We know that consumers want ‘kid time,’ ‘we time,’ and ‘me time.’ Hulu on Disney+ now offers all of that and gives viewers options for their experience with parental controls and content settings,” said Earley.
This incredible range of content is celebrated and reflected in a new 360-degree marketing campaign that will be introduced in the coming days and weeks. This includes out-of-home placements, custom broadcast and digital spots, cross-branded social media posts, bi-coastal experiential stunts, including on-site activations at the Disneyland Resort and Walt Disney World Resort, and more.
Subscribers will also be welcomed to the Disney+ app in a whole new way, featuring a refined logo, color palette, and orchestral mnemonic created by Academy Award-winning composer Ludwig Göransson.
“The color is named Aurora, both for the aurora borealis, but also as an homage to Princess Aurora,” Earley said. “It’s beautiful, a bit more adult, and signals a change.”
Inspired by Hulu’s signature green and Disney+’s legacy blue, this refreshed branding for Disney+ marks a new chapter in storytelling for the streaming service.
Je préférais le bleu d'avant. Mais j'aime bien l'idée l'idée de la couleur "Aurora", qui marque visuellement l'arrivée d'Hulu avec cette teinte plus verte. Et cela permet de démarquer Disney+ du reste des plateformes qui au fil du temps sont quasiment toutes devenues bleues, en dehors de Netflix.
